IT之家 7 月 27 日消息，美国模拟和射频芯片公司 MaxLinear（迈凌科技）于 2022 年 5 月 5 日宣布拟以每股美国存托凭证（ADS）114.34 美元价格收购 NAND 闪存控制芯片巨头慧荣科技。算上现金加股票，此次交易规模总计约 38 亿美元。收购后，迈凌科技股东将拥有合并后公司约 86% 的股份。昨日，中国市场监管总局发布了《关于附加限制性条件批准迈凌公司收购慧荣科技公司股权案反垄断审查决定的公告》，批准迈凌收购慧荣科技。今日，迈凌科技宣布终止对慧荣科技（Silicon Motion Technology）的收购，称因慧荣方原因而终止合并协议。迈凌科技在声明中指出，正如今天向美国证券交易委员会提交的 8-K 表格所述，公司已免除完成交易的义务，除其他原因外，迈凌科技给出了四方面的理由：(1) 合并协议中规定的某些完成条件未得到满足，也无法得到满足；(2) 慧荣科技遭受了持续的重大不利影响；(3) 慧荣科技严重违反陈述、保证、承诺。以及合并协议中赋予公司终止权的协议；(4) 在任何情况下，第一个延长的外部日期已经过去，并且由于截至 2023 年 5 月 5 日合并协议第 6 条中的某些条件未得到满足或放弃，因此不会自动延长。IT之家注：双方协议规定如果交易未在 2023 年 6 月 27 日前完成则需要根据美国的 HSR 法案重新提交文件，而该项交易在昨天（7 月 26 日）刚刚得到中国市场监督总局的反垄断批准。据悉，国家市场监管总局在限制性条件中要求交易双方和集中后实体履行（包括但不限于）如下义务：（一）继续公平、合理、无歧视地向中国境内供应 NAND 闪存主控芯片产品。履行慧荣科技的现有客户合同。维持慧荣科技的现有商业关系。（二）不得实质性地改变慧荣科技现有的业务模式和运营。（三）保留慧荣科技在中国台湾地区与 NAND 闪存主控芯片相关的研发。（四）保留慧荣科技在中国境内的现场应用工程师作为研发资源的一部分，以向慧荣科技 NAND 闪存主控芯片的客户提供支持。（五）对于在中国境内销售的 NAND 闪存主控芯片，不得在其设计中加入任何恶意编码。限制性条件的监督执行除按本公告办理外，申报方于 2023 年 7 月 25 日向市场监管总局提交的附加限制性条件承诺方案对交易双方和集中后实体具有法律约束力。上述承诺自生效日起 5 年内有效，期限届满后自动解除。值得一提的是，迈凌股价此前在获得监管机构批准后增长超 24%，而在宣布交易终止后下跌超 14%，慧荣科技股价在 7 月 25 日审批结束前已直线拉升至 94 美元 / 股，宣布交易终止后下跌超 40%。广告声明：文内含有的对外跳转链接（包括不限于超链接、二维码、口令等形式），用于传递更多信息，节省甄选时间，结果仅供参考，IT之家所有文章均包含本声明。

MaxLinear Launches Single-Port 1G Ethernet PHY Family Aimed at Both Consumer and Industrial IOT Applications

Single-port Ethernet gigabit copper PHYs with low power consumption, a small footprint, and low RBOM.

Ethernet end-market is expected to grow to $15.8B by 2028.

CARLSBAD, Calif.--(BUSINESS WIRE)-- MaxLinear, Inc. (Nasdaq: MXL), a leader in Ethernet and network solutions, today announced the market availability of its latest generation of single-port 1G Ethernet PHYs, complementing its already robust Ethernet portfolio. The new family is available in consumer and industrial variants and addresses a wide range of applications such as gateways, routers, industrial PCs, media converters, and SGMII to RGMII bridges. The products are available today with full documentation and development kits.

The new gigabit Ethernet transceivers - MxL86110C, MxL86110I, MxL86111C, and MxL86111I – are tailored to both industrial and consumer needs and meet the market need for robust Ethernet across a variety of applications, including both Industrial IoT (ex. video cameras, motor drives, industrial PC) and consumer IoT (printers, Wi-Fi access points, and all varieties of gateways). High-speed transmission coupled with low-cost implementation make Ethernet a growing connectivity solution, especially within the industrial space. The industrial Ethernet end-market is expected to grow from $11B to $15.8B from 2023 to 2028, according to a report from MarketsandMarkets.

The new Ethernet transceivers are highly competitive and offer a wide range of Ethernet speeds and interface options, providing maximum flexibility for specific requirements. Speeds include 10BASE-Te, 100BASE-TX, and 1000BASE-T on twisted pair interfaces. This versatility enables customers to adapt to different network environments. They also support both half- and full-duplex modes for 10BASE-Te and 100BASE-TX, as well as full-duplex mode for 1000BASE-T, optimizing network performance. Interface options include RGMII only or RGMII and SGMII MAC interfaces.

With this new Ethernet family, MaxLinear focused on providing designers with more flexibility with unit layout and BOM as well as meeting consumers' environmental concerns. Compact packages - include QFN40 5mm x 5mm and QFN56 6mm x 6mm - allow for lower power consumption and efficient design integration. Green power features like EEE, Wake on LAN, and link down power saving align with consumers' environmental concerns by reducing power consumption during idle times. Additionally, features such as support for jumbo frames, auto MDI/MDI-X, auto polarity detection and correction, and Energy Efficient Ethernet (EEE) collectively contribute to a state-of-the-art and power-efficient Ethernet communication solution, giving consumers the confidence to meet their connectivity needs while maintaining design flexibility.

Furthermore, the extended loop length exceeding the standard 100m specified in IEEE802.3 offers consumers greater reach for their network connections. The single power supply with internal DCDC simplifies power management, and the compatibility with various voltage levels (1.8V, 2.5V, 3.3V) ensures ease of integration into different systems.

The inclusion of advanced features like SyncE, dual media support, and industrial temperature range further extends the usability of this product family, making it suitable for advanced industrial applications.

World’s first single-chip Wi-Fi 7 solution with 12 spatial streams delivering optimal Multi-Link experience

CARLSBAD, CA – October 18, 2022 – MaxLinear Inc. (NASDAQ: MXL) today announced the seventh generation of its Wi-Fi SoC solution targeting service provider gateways, Wi-Fi routers, and access points. The highly-integrated Wi-Fi 7 family of chips offers an industry-first single-SoC solution that delivers more than 70% higher tri-band throughput verses Wi-Fi 6. The chips are currently sampling to selected partners and MaxLinear-enabled products are expected in 2023.

“Our Wi-Fi 7 single-chip solution enables fast, robust, and reliable connectivity elevating the user experience,” said Will Torgerson, vice president and general manager, Broadband group for MaxLinear. “We help our partners reduce complexity, drive form-factor innovation, and spend less time designing next generation gateways, routers and access points.”

Wi-Fi 7 - also called Extremely High Throughput (EHT) - is one of the most significant Wi-Fi upgrades to date. Built on the IEEE 802.11be standard, it delivers 11.5Gbps of peak throughput on the 6GHz spectrum. This makes the throughput more than twice as fast as the previous generation, Wi-Fi 6. This increase is accomplished by doubling the bandwidth to 320MHz and enhancing the modulation to 4096 QAM.

Making the untethered experience more robust, Multi-Link Operation (MLO) is another marquee Wi-Fi 7 feature which enables channel aggregation to deliver lower latency and higher throughput in congested environments.

MaxLinear Wi-Fi 7 advantages include:

Lowers total system cost and development time: Single chip reduces total Bill of Material (BOM) and board complexity, with less time spent on thermal, mechanical, and PCB designs. Single chip also drives smaller form-factor which enables system integrators to build more elegant product designs.

Provides seamless, coordinated view of multi-bands for optimal MLO experience: Single chip has one coordinated view of data flows across multiple channels in dual- and tri-band configurations for faster recovery from retransmissions during interference. This improves link robustness and client efficiency, enables deterministic latency and higher throughput for demanding high-bandwidth applications in heavily congested environments like Multi-Dwelling Units.

Enhances network efficiency with “On-the-fly MAC”: MaxLinear’s improved proprietary “on-the-fly MAC” architecture optimizes large and small packet scheduling and performance. It reduces the overheads in the data path and enables quick recovery from data retransmissions during interference.

Reduces dead spots with dedicated chain for ZWDFS: Provides seamless operations in DFS channels while adhering to stringent DFS (re)entry rules. Delivers uncompromised 4x4 range and performance reducing dead spots while offering best-in-class user experience.

When used with MaxLinear’s gateway and access products, AnyWAN™, the solution can be highly optimized to deliver unparalleled performance, maintaining quality of service end-to-end, and delivering line-rate throughputs inside and outside of the home.

The Wi-Fi 7 Family consists of two chips: The MxL31712 and the MxL31708. The MxL31712 is targeted for premium segment 4x4 tri-band market targeting throughput up to 18.6Gbps. The MxL31708 is targeted for mid- to high-range 4x4 dual-band market targeting throughput up to 17Gbps.

The MaxLinear AnyWAN™ MxL25641, URX850, and URX851 deliver the highest level of silicon integration to enable power- and cost-efficient high-performance home gateways and routers and bring the scalability that supports all high-speed data access and in-home connectivity technologies and software platforms:

Original Equipment Manufacturers (OEM) and Original Design Manufacturers (ODM) now have an ultra-scalable architecture to quickly provide cable, telco and fixed wireless service providers with a versatile solution for home routers and gateways. AnyWAN shortens product development time, lowers the cost of ownership, and allows the design of multiple high-speed data access gateway products around a common software framework, facilitating easier management of supply chain challenges.
